1. Agreement to these Terms

Using HUDLI means you accept these Terms, our Privacy Policy, Liability Waiver & Release, and Safety Tips.

These Terms of Service (“Terms”) form a binding agreement between you and HUDLI (“HUDLI,” “Hudli AI,” “we,” “us,” or “our”) regarding the HUDLI website, apps, and features at https://hudliai.com (collectively, the “Service”). By creating an account, clicking “I agree,” accessing, or using the Service, you agree to these Terms and to the following documents, which are incorporated by reference: • Privacy Policy (available at https://hudliai.com/privacy/) • Liability Waiver, Assumption of Risk & Release (available at https://hudliai.com/waiver/) • Safety Tips (available at https://hudliai.com/safety/) If you do not agree, do not create an account or use the Service. 2. HUDLI is a platform only — not a party to your relationships

We provide technology to help people meet and interact. We do not arrange, supervise, or guarantee dates or friendships.

HUDLI is an online venue and technology platform that enables adults to discover, communicate with, play games with, and optionally meet other users. HUDLI and its owners, officers, directors, employees, contractors, agents, affiliates, and partners (collectively, the “Released Parties”) are not parties to any relationship, conversation, game, plan, date, or meeting between users. We do not: • Guarantee matches, responses, compatibility, honesty, or any particular outcome • Supervise, chaperone, or monitor offline meetings • Verify that any user’s statements, photos, identity, intentions, health, criminal history, or background are true • Act as an agent, employer, or representative of any user • Assume responsibility for any user’s words, actions, omissions, or crimes on or off the Service You use the Service solely at your own risk. Any decision to chat, share information, leave the Service to communicate elsewhere, or meet in person is yours alone.

3. Eligibility

By using the Service, you represent and warrant that all of the following are true: • You are an individual (not a company) at least 18 years of age and legally able to enter this agreement • You are not prohibited by law from using dating or social services • You have not been convicted of, pled guilty or no contest to, or been found responsible for a crime involving violence, sexual misconduct, stalking, fraud, or similar offenses that would make your use of the Service unsafe or unlawful • You are not required to register as a sex offender with any government registry • You do not have another active HUDLI account and have not been previously banned without our written permission to return • You will provide accurate profile information and keep it reasonably up to date HUDLI is an adult dating and social product. Accounts for anyone under 18 are prohibited and may be removed without notice. If you stop meeting these requirements, your authorization to use the Service ends immediately.

4. Accounts & security

You are responsible for your account credentials, for activity under your account, and for maintaining the confidentiality of your password. One person per account. Notify us promptly at support@hudliai.com if you suspect unauthorized access. We may suspend, restrict, or terminate accounts that violate these Terms, create safety risk, abuse the Service, or as needed to protect users or the platform. We may limit disclosure of termination reasons when sharing them could impair others’ safety or privacy.

5. Your conduct

You agree to treat others respectfully on and off the Service and to comply with all applicable laws. You will not: • Harass, stalk, threaten, assault, defame, blackmail, or mistreat any person • Scam, defraud, impersonate, or misrepresent your identity, age, or intentions • Share others’ private information without consent (“doxxing”) • Post illegal content, non-consensual intimate imagery, or content involving minors • Use the Service to facilitate prostitution, trafficking, or other illegal commercial sex activity • Spam, scrape, reverse engineer, or use bots or unauthorized automated systems • Interfere with the Service’s security or other users’ access Report safety concerns to support@hudliai.com. We may remove content or ban accounts at our discretion. Enforcement tools do not guarantee that harmful conduct will never occur.

6. Your content — ownership, license, marketing & no compensation

You keep ownership. You grant HUDLI a broad royalty-free license to run the product and to use your photos/profile in HUDLI marketing — without paying you.

“Your Content” means anything you upload, post, submit, or make available through the Service, including profile photos and images, display name, bio, age/city info you choose to show, videos, audio, messages, feed posts, game contributions, and similar materials. You retain ownership of Your Content. By creating an account or uploading Your Content, you grant HUDLI a worldwide, perpetual, irrevocable (subject to applicable privacy law), transferable, sublicensable, royalty-free, fully paid, non-exclusive right and license to host, store, use, copy, reproduce, adapt, edit, modify, reformat, translate, publish, publicly perform, publicly display, distribute, advertise, promote, create derivative works from, incorporate into other works, and otherwise exploit Your Content, in whole or in part, in any media or format now known or later developed, for: • Operating, securing, improving, and providing the Service (including matchmaking, games, feed, discovery, and technical processing such as compression, thumbnails, and CDN delivery) • Displaying Your Content to other users as part of the Service • Marketing, advertising, and promoting HUDLI and Hudli AI on the Service itself and off-platform (including websites, app stores, social media, ads, emails, press kits, pitch decks, case studies, and investor or partner materials) • Training, testing, or improving product features (including AI/ML features) where permitted by law and our Privacy Policy NO COMPENSATION. You will not receive any payment, royalty, credit, or other compensation for HUDLI’s use of Your Content under this license, including marketing or advertising use of your photos, likeness, or profile information. You waive any claim for payment or accounting related to that use. PUBLICITY / NAME / LIKENESS. To the maximum extent permitted by law, you grant HUDLI permission to use your name, username, likeness, image, voice, and biographical information from Your Content in connection with the Service and HUDLI marketing as described above, and you waive (to the extent waivable) claims based on rights of publicity, privacy, or similar doctrines arising from that licensed use. MORAL RIGHTS. To the extent permitted by law, you waive moral rights or “droit moral” in Your Content against HUDLI for ordinary platform uses (cropping, compression, formatting, juxtaposition with ads or other content). REPRESENTATIONS. You represent and warrant that: (a) you own Your Content or have all rights needed to grant this license; (b) Your Content does not infringe copyright, trademark, privacy, publicity, or other rights of any third party; (c) you have obtained all consents needed for any person depicted; and (d) posting and our licensed use will not violate law. SURVIVAL AFTER DELETION. If you delete Your Content or your account, we will stop new promotional uses of that content where reasonably practicable, subject to our Privacy Policy and legal retention needs. Materials already produced, published, cached, shared, or archived (including ads already running, press materials, backups, and screenshots of the Service that include Your Content) may continue to be used. HUDLI’s license is exclusive as to derivative works we create that incorporate Your Content (for example, a marketing collage or Service screenshot). This license is subject to your rights under applicable data-protection law. Nothing here requires us to use Your Content in marketing.

7. Disputes with other users — not with HUDLI

If you have a dispute with another user (including about messages, meetings, dates, money, property, reputation, or personal injury), you agree to pursue that dispute directly with that user, not with HUDLI, except to the extent we are required by law to respond. You release the Released Parties from claims arising out of disputes between users. Reporting a user to us does not create a duty for us to take any particular action, and our decision to warn, suspend, or ban (or not to) does not make us responsible for that user’s conduct.

8. No criminal background or identity verification

Like other major dating apps, we do not guarantee we have screened users.

YOU UNDERSTAND THAT HUDLI AND HUDLI DO NOT CONDUCT CRIMINAL BACKGROUND CHECKS, IDENTITY VERIFICATION, OR OTHER BACKGROUND INQUIRIES ON USERS AS A CONDITION OF USE, AND MAKE NO REPRESENTATIONS OR WARRANTIES AS TO ANY USER’S CONDUCT, IDENTITY, HEALTH, PHYSICAL OR MENTAL CONDITION, INTENTIONS, LEGITIMACY, OR VERACITY. We reserve the right (but not the obligation) to use available tools or public records to investigate accounts when we believe it is appropriate for safety or Terms enforcement. Any such tools are imperfect and are not a substitute for your own caution. We do not guarantee that prohibited users are kept off the Service. YOU ARE SOLELY RESPONSIBLE FOR YOUR INTERACTIONS WITH OTHER USERS. ALWAYS USE YOUR BEST JUDGMENT AND TAKE APPROPRIATE SAFETY PRECAUTIONS WHEN COMMUNICATING OR MEETING SOMEONE YOU MET THROUGH THE SERVICE.

9. Online interactions & in-person meetings

Meeting people involves risk. You choose whether and how to meet.

Communications on HUDLI — including chat, games (Spark, Thread Court, Live, Studio, matchmaking), invites, plans, and Glow gifts — may come from people with improper or illegal motives, including fraud, harassment, or abuse. If you choose to communicate outside the Service or meet in person, you do so voluntarily and at your sole risk. You agree to review our Safety Tips and to take sensible precautions (public places, tell a friend, arrange your own transportation, do not share financial information, leave if you feel unsafe, etc.). HUDLI does not arrange transportation, venues, alcohol, lodging, or chaperones, and is not responsible for what happens before, during, or after any meeting. Third-party venues, sponsors, or “Golden Ticket” partners are independent; their terms and conduct are not ours.

10. Assumption of risk

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU KNOWINGLY AND VOLUNTARILY ASSUME ALL RISKS arising from or related to your use of the Service and your interactions with other users, including risks of: • Personal injury, assault, sexual assault, stalking, harassment, or death • Emotional distress, defamation, invasion of privacy, or reputational harm • Theft, property damage, or financial loss / fraud • Sexually transmitted infections or other health risks • False identity, catfishing, or misrepresentation • Any other harm arising from meeting or interacting with people you encounter through HUDLI This assumption of risk is detailed further in the Liability Waiver & Release at https://hudliai.com/waiver/, which you accept as part of these Terms.

11. Release of liability & covenant not to sue

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU HEREBY RELEASE, WAIVE, DISCHARGE, AND COVENANT NOT TO SUE the Released Parties from and against any and all claims, demands, damages, losses, costs, and causes of action of every kind (including negligence to the extent waivable, but not gross negligence or willful misconduct where such waiver is prohibited), whether known or unknown, arising out of or relating to: • Your use of or inability to use the Service • Interactions with any user on or off the Service • Any meeting, date, hangout, trip, or communication arranged through or facilitated by the Service • User content, our licensed marketing use of Your Content, matchmaking, games, or third-party links • Unauthorized access to or alteration of your data • Our moderation decisions (action or inaction) regarding content or accounts If you are a California resident, you waive California Civil Code §1542 (and similar laws), which provides that a general release does not extend to claims that the releasing party does not know or suspect to exist at the time of the release and that, if known, would have materially affected the settlement.

12. Indemnification

You agree to indemnify, defend, and hold harmless the Released Parties from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) Your Content; (b) your use of the Service; (c) your interactions with other users; (d) your violation of these Terms or applicable law; (e) your violation of any third-party rights (including publicity, privacy, or IP); or (f) any claim that our licensed use of Your Content infringes a third party’s rights because you lacked authority to grant the license.

13. Disclaimer of warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, INCLUDING DURING BETA OR SOFT LAUNCH. TO THE MAXIMUM EXTENT PERMITTED BY LAW, HUDLI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, secure, or error-free; that defects will be corrected; that moderation will catch all harmful content; or that content or user information will be accurate or appropriate for your purposes. We make no guarantees about the number of users, their willingness to communicate or meet, or their ultimate compatibility or conduct.

14. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, THE RELEASED PARTIES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM: (I) YOUR USE OF OR INABILITY TO USE THE SERVICE; (II) THE CONDUCT OR CONTENT OF ANY USER OR THIRD PARTY; (III) UNAUTHORIZED ACCESS TO YOUR CONTENT OR ACCOUNT; OR (IV) OUR USE OF YOUR CONTENT UNDER THE LICENSE IN THESE TERMS — EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE FULLEST EXTENT PERMITTED BY LAW, THE RELEASED PARTIES’ TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US $100) OR (B) THE AMOUNTS YOU PAID TO HUDLI FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE YOU FIRST FILE A CLAIM. Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability is limited to the maximum extent permitted.

15. Dispute resolution; arbitration; class action waiver

Most disputes go to individual arbitration after an informal resolution attempt (where allowed by law).

Informal resolution first. If you have a dispute with us, email support@hudliai.com with your name, account email, and a detailed description of the issue and relief sought. You and we will try in good faith to resolve it within 60 days before formal proceedings. Binding individual arbitration. Except where prohibited by law (including for users in the EU/EEA/UK/Switzerland to the extent consumer protections require otherwise), and except for individual claims in small claims court or claims that a court finds cannot be arbitrated under the Ending Forced Arbitration of Sexual Assault and Sexual Harassment Act, any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. The arbitrator may award the same individual relief a court could. Class action and jury waivers. TO THE FULLEST EXTENT ALLOWED BY LAW, YOU AND HUDLI WAIVE ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. Claims must be brought only in your individual capacity. TIME LIMIT. To the extent permitted by law, any claim against the Released Parties must be filed within one (1) year after the claim arose, or it is permanently barred. If the arbitration agreement is found unenforceable as to a particular claim, that claim may proceed in court as set out under Governing Law, and the remainder of this section remains in effect.

16. Purchases, Glow & virtual items

Optional memberships, Glow Marks, Play Coins, Golden Tickets, or other virtual items may be offered. Except where required by law, purchases are generally non-refundable. Virtual items have no cash value outside the Service unless we expressly say otherwise. App Store or Google Play purchases are also subject to those stores’ terms; cancel subscriptions through the store you used. HUDLI may modify or discontinue virtual items without liability.

17. Intellectual property & feedback

The HUDLI name, logos, product design, and software are owned by HUDLI or its licensors. You may not copy, modify, or commercially exploit them without written permission. Feedback, ideas, or suggestions you send may be used by us for any purpose without compensation or attribution, and you waive claims based on that use.

18. Termination

You may stop using HUDLI and request account deletion through in-product controls or by contacting support@hudliai.com or greg@intrglobal.com. We may suspend or end access if you breach these Terms, create risk, or if we discontinue the Service. Provisions that by their nature should survive (including content licenses for already-produced materials, releases, indemnity, limitations, and dispute resolution) will survive termination.

19. Additional legal protections

No third-party beneficiaries. These Terms do not create rights for any third party except the Released Parties as intended beneficiaries of the release, indemnity, and limitation provisions. Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, financing, or sale of assets. Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control (including outages, strikes, war, epidemics, natural disasters, or failures of suppliers or networks). No waiver. Our failure to enforce a provision is not a waiver of that provision. Export / sanctions. You may not use the Service if you are prohibited under U.S. or other applicable sanctions or export laws. Electronic agreement. You agree that clicking “I agree,” checking a box, or creating an account constitutes your electronic signature and affirmative acceptance of these Terms, the Waiver, Safety Tips, and Privacy Policy (clickwrap). Browsing alone does not replace that acceptance for account creation. Soft launch / beta. Features may be incomplete, change, or fail. Your use of beta or soft-launch features is at your own risk under the same disclaimers and limits.

20. Governing law & venue

Except where prohibited by mandatory consumer protection laws of your country of residence, these Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-law rules. Subject to the arbitration section, exclusive venue for permitted court actions is the state or federal courts located in Texas, and you consent to personal jurisdiction there. California residents may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs at 1625 North Market Blvd., Suite N112, Sacramento, CA 95834, or (800) 952-5210.

21. Changes; severability; entire agreement

We may update these Terms. We will post the new effective date on this page. Material changes to the limitation of liability, dispute resolution, or content-license sections may require additional acceptance where required by law. Continued use after changes become effective constitutes acceptance, except where affirmative consent is required. If any provision is held unenforceable, the remaining provisions remain in effect. These Terms, plus the incorporated Privacy Policy, Waiver, and Safety Tips, are the entire agreement between you and HUDLI regarding the Service and supersede prior agreements on that subject.
